Pursuant to Standing Order 108(2) and the motion adopted by the committee on Wednesday, March 11, 2026, the committee resumed its study of the loan from the Canada Infrastructure Bank to the Mersey River Wind project.

The Minister made a statement and answered questions.

Notice of Motion

Leslyn Lewis gave notice of the following motion:

That, pursuant to Standing Order 108(1)(a), the committee issue an order to:

  1. the Canada Infrastructure Bank to produce the following unredacted documents in relation to its $206.4 million loan to the Mersey River Wind project, no later than 20 calendar days following the adoption of this motion:
    1. All correspondence including, but not limited to, emails, text messages, briefing notes, memoranda, and calendar records, between the Canada Infrastructure Bank (CIB) (including its executives, board members, and staff) and any minister, minister’s office, any departmental officials, or any federal Member of Parliament including, but not limited to, MPs representing Nova Scotia ridings;
    2. All correspondence, including emails, text messages, records of meetings and calls and summaries of discussions, between the CIB and Slate Asset Management, Roswall Development Inc., Renewall (or any related project entities), and any registered lobbyists acting on behalf of the above;
    3. All internal documents related to the assessment and approval of the loan, including: Know Your Client (KYC) and integrity due diligence reports; conflict of interest assessments; Politically Exposed Person (PEP) analyses; risk classification and mitigation measures; and any documentation identifying political affiliations, connections or prior public office of project principals and directors;
    4. All materials provided to the CIB Investment Committee and Board of Directors, including investment memos, financial models, credit risk assessments, briefing notes and recommendations, and records of decision, including any dissenting views, as well as analyses of project viability, including projected revenues and pricing, alternative financing options, other public funding sources, applicable subsidies or tax measures, and domestic economic or supply chain impacts;
    5. Full disclosure of the loan agreement, including: interest rate and methodology used to determine it; repayment schedule and term; security and guarantees; any concessionary elements or risk-sharing provisions; and any side agreements or amendments;
    6. All documents indicating when and how the CIB became aware of the political affiliations, connections or prior public roles of individuals involved in the project and records of discussions internally or externally regarding potential political sensitivities or reputational risks;
    7. Any records, internal tracking documents, summaries, or reports maintained by the CIB regarding lobbying activity connected to the project, external stakeholder engagement, coordination (if any) with government officials regarding stakeholder outreach;
    8. And, that the committee instruct the Chair to summons the CEO of the CIB to appear before the committee for no less than two hours, within five parliamentary sitting days following the document production deadline should the CIB fail to produce the requested documents, or, should it fail to produce them in an unredacted format.

  2. Roswall Development Inc., including its subsidiaries, affiliates, partners, and any entities directly or indirectly involved in the development, financing, or governance of the project, to produce the following unredacted documents in relation to its $206.4 million loan to the Mersey River Wind project, no later than 20 calendar days following the adoption of this motion:
    1. All correspondence, including emails, text messages, records of meetings and calls, and summaries of discussions, meeting records and briefing notes, including its subsidiaries, affiliates and related project entities, and the Canada Infrastructure Bank, any government officials or offices, including government MPs and Ministers, and any registered lobbyists acting on behalf of the foregoing;
    2. Full disclosure of the loan agreement, including: interest rate, repayment schedule and term, security and guarantees, any concessionary elements or risk-sharing provisions, and any side agreements or amendments;
    3. All records relating to efforts to secure private sector financing prior to receiving funding from the Canada Infrastructure Bank, including: lists of financial institutions approached (including banks, trust companies, private equity firms, and infrastructure funds); all correspondence, pitch materials, and financing proposals provided to such institutions; and records of any declined, withdrawn, or unsuccessful financing efforts, including any reasons provided;
    4. And, that the committee instruct the Chair to summons the CEO and Board Chair of Roswall Development to appear before the committee for no less than 2 hours, within 5 parliamentary sitting days following the document production deadline should Roswall Development fail to produce the requested documents, or, should it fail to produce them in an unredacted format.
